VANCOUVER, British Columbia — November 13, 2025 — Leads & Copy — VERSES AI Inc. (CBOE: VERS) (OTCQB: VRSSF) has announced the closing of its non-brokered private placement with Sorbie Bornholm LP, with the company expected to receive CAD$14,000,000 in exchange for 2,660,000 Units, which includes finder’s fees.
Each Unit consists of one Class A subordinated voting share and one half warrant, with each whole warrant entitling the holder to acquire one additional Common Share at an exercise price of CAD$7.00 for 36 months from the closing of the Offering.
VERSES intends to use the net proceeds for working capital and general corporate purposes.
The company has already received CAD$700,000, representing the first tranche of the Offering, and anticipates receiving eleven additional tranches monthly, subject to the terms of the Sharing Agreement. The Sharing Agreement calculates each additional tranche as CAD$1,209,091 times the percent difference between the benchmark price of CAD$7.75 and the trailing 20-day Value Weighted Average Price. Should the 20-day Value Weighted Average Price exceed the benchmark, the difference will be added to CAD$1,209,092, with no limit to the amount VERSES can receive.
The company anticipates that additional tranches will commence 30 days after closing and will be responsible for an 8% brokerage fee per tranche.
The securities issued are subject to a statutory hold period of four months plus a day from the issuance date, adhering to Canadian securities legislation.
The Common Shares and Warrants offered will not be registered under the United States Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption.
