TORONTO, Canada — December 17, 2025 — Leads & Copy — SPARC AI Inc. has completed a non-brokered private placement, issuing 1,432,429 units at $0.70 each, raising gross proceeds of $1,002,700.
The company received net proceeds of $975,820 after paying $26,880 in finder’s fees. They also issued 61,257 finders’ warrants and 22,857 common shares to certain finders.
Each unit comprises one common share of SPARC AI and one common share purchase warrant. Each warrant allows the holder to buy one common share of the company at $0.90 until December 16, 2026. If SPARC AI’s common shares exceed $1.30 for ten consecutive trading days on the Canadian Securities Exchange, the company can accelerate the warrant expiry date.
Proceeds from the offering will fund the advancement of the company’s technology products and commercialization efforts. All securities issued are subject to resale restrictions until April 17, 2026.
Directors Anoosh Manzoori and Anthony Haberfield participated in the offering, purchasing 185,714 and 200,000 units, respectively. This insider participation is considered a “related party transaction” under Multilateral Instrument 61-101, but is exempt from certain requirements because the company’s shares are not listed on a specified market and the consideration for the securities issued to the insiders does not exceed twenty-five percent of the Company’s market capitalization.
SPARC AI develops high-tech solutions for GPS-denied environments, enhancing perception and awareness. The company has created a Target Acquisition System and Autonomous Flight solution for drones that doesn’t need GPS, satellite, lidar, radar, image recognition or other complex hardware or software.
