LAS VEGAS, January 28, 2026 — Leads & Copy — Richtech Robotics Inc. (Nasdaq: RR) has entered into an agreement with an institutional investor for a private placement of 8,500,000 shares of its Class B common stock.
The Nevada-based AI-driven service robot provider expects the private placement, priced at the market under Nasdaq rules, to close around January 29, 2026, pending standard closing conditions.
Rodman & Renshaw LLC is the exclusive placement agent for the offering.
Richtech Robotics anticipates gross proceeds of approximately $38.7 million from the offering, before deducting fees and expenses. The company plans to allocate the net proceeds to working capital, general corporate purposes, further product development, and inventory procurement for robotic hardware.
The shares are offered privately under Section 4(a)(2) of the Securities Act of 1933 and/or Regulation D and have not been registered under the Securities Act or state securities laws. Therefore, the shares cannot be offered or sold in the United States without registration or an applicable exemption. Richtech Robotics has agreed to file a resale registration statement for these shares, according to a registration rights agreement with the investor.
