October 8, 2025 — Railtown AI Technologies Inc. (CSE: RAIL) (OTCQB: RLAIF) has announced it will acquire AI Partnerships Corp. (AIP) to create an AI affiliate marketplace, leveraging its technologies to connect Canada’s AI ecosystem to computer infrastructure.
Under the amalgamation agreement, Railtown will acquire all of AIP’s shares in exchange for Railtown shares, making AIP a wholly-owned subsidiary. The transaction includes issuing 40 million shares at $0.50 each, with staged release restrictions, and an additional 10 million performance shares in escrow, released upon recurring revenue milestones.
Following the transaction, Railtown will benefit from a memorandum of understanding between AIP and DIGITAL, aiming to accelerate the adoption and commercialization of Canadian solutions through bi-directional referrals and joint initiatives.
Railtown’s acquisition of AIP, combined with AIP’s partnership with DIGITAL, underscores Railtown’s vision to create an AI affiliate marketplace, connecting AIP Affiliates to Railtown’s frameworks, compute resources, and ecosystem support.
Under the terms, Railtown will acquire all outstanding AIP shares in exchange for up to 50,000,000 common shares of Railtown, subject to escrow and transfer restrictions. Completion is subject to conditions, including shareholder approval by AIP.
Railtown is focused on transforming agentic software development, while AIP has established a network of over 180 SaaS-based AI affiliates. DIGITAL collaborates on large-scale projects driving innovation in critical sectors.
