TORONTO, Ontario — Predictmedix AI Inc. has successfully completed the first tranche of its non-brokered private placement, raising $460,150 through the issuance of 9,203,000 units at $0.05 per unit, according to a recent announcement.
The financing saw substantial participation from company insiders, including Sheldon Kales and Dr. Rahul Kushwah, each subscribing for $30,000 of the tranche. This insider participation, totaling $60,000, underscores a strong vote of confidence in the company’s growth prospects and innovative direction, Predictmedix stated.
Each unit issued in this tranche includes one common share of Predictmedix and one-half of a common share purchase warrant. The warrants allow the holder to acquire one-half of a common share at C$0.15 within 36 months of the offering’s closing date. The company retains the option to accelerate the warrant expiry date to 30 days following written notice if the shares’ volume-weighted average price on the CSE reaches or exceeds $0.30 for ten consecutive trading days after a four-month hold period.
The insider involvement in the private placement is classified as a related party transaction under Multilateral Instrument 61-101. Predictmedix is relying on exemptions from valuation and minority shareholder approval requirements, as the insiders’ participation doesn’t exceed 25% of the company’s market capitalization.
All securities issued during this private placement are subject to a statutory hold period of four months and one day from the issuance date.
According to Predictmedix, this financing round occurs after the company actively engaged with European capital markets. Predictmedix participated in the 25th MK Investment Conference in Munich, Germany, focusing on AI, longevity, tech, and ESG themes. Earlier in the year, the company conducted a European roadshow, engaging with family offices and institutional investors to broaden its shareholder base.
Predictmedix AI Inc. is a provider of health screening and remote patient care solutions, the company said. Its Smarthealth AI stations use multispectral cameras and artificial intelligence to analyze physiological data for health issues such as physiological vital parameters, impairment by drugs or alcohol, fatigue, or various mental illnesses.
The company’s remote patient care platform provides medical professionals with tools to improve patient health outcomes.
