Neurothera Labs Announces Results of Annual and Special Meeting of Shareholders
Vancouver, British Columbia — January 8, 2026 — Leads & Copy — Neurothera Labs Inc. (TSXV: NTLX), a clinical-stage biotech company and majority-owned subsidiary of SciSparc Ltd. (Nasdaq: SPRC), has announced the results of its annual and special meeting of shareholders (AGM) held today.
All nominee directors listed in Neurothera’s management information circular dated December 4, 2025, were elected as directors. Shareholders also voted to appoint Dale Matheson Carr-Hilton Labonte LLP as auditors for the ensuing year and authorized the directors to determine their remuneration.
The shareholders authorized the company to consolidate common shares on the basis of one post-consolidation common share for up to one hundred pre-consolidation common shares, as determined by the directors. The directors have not yet determined to effect the consolidation and may elect not to proceed, subject to fiduciary and statutory duties. The directors will continue to assess market conditions and the interests of the company and shareholders before proceeding with the consolidation, if at all. The consolidation must also be approved by the TSX Venture Exchange.
Finally, shareholders approved the adoption of the 20% fixed equity incentive plan. Adoption of the Equity Incentive Plan is subject to final TSX Venture Exchange approval.
