Gorilla Technology Group Inc. (NASDAQ: GRRR) announced today that holders of its Class A contingent value rights (CVRs) will receive a distribution of Gorilla ordinary shares. This distribution is subject to restrictions outlined in the Contingent Value Rights Agreement, detailed in Exhibit 4.1 of Gorilla’s Form 6-K, which was filed with the SEC on July 19, 2022.
The announcement follows a joint written instruction from the SPAC Representative and the Company Representative to the Escrow Agent on November 18, 2025, indicating that 587,747 Earnout Shares had been forfeited by the Company Shareholders. On December 4, 2025, a CVR Payment Notice was jointly delivered, identifying these shares as Price Protection Shares, which equates to a distribution of 0.130382275 ordinary shares per Qualifying CVR Holder.
To become a Qualifying CVR Holder, Class A CVR holders must send a notice to cvr@gorilla-technology.com with the following information:
- Legal name
- Mailing Address
- Country of residence
- Citizenship
- United States Taxpayer Identification Number or Social Security Number
- A signed and dated United States Internal Revenue Service W-8 or W-9
- Email Address
- The Number of Class A CVRs held as of December 4, 2025
- If CVRs are held in a brokerage account, then the name and contact details of the brokerage firm
A Valid Notice must contain all the listed information with sufficient detail for Gorilla to be certain of its accuracy. Gorilla will inform senders of Invalid Notices via email reply, and senders can resubmit with corrected information to create a Valid Notice. Holders failing to become Qualifying CVR Holders within one year of the CVR Payment Notice delivery will forfeit their underlying ordinary shares.
