BEIJING, Nov. 21, 2025 — Leads & Copy — Cheer Holding, Inc. (NASDAQ: CHR) has received a delisting notice from The NASDAQ Stock Market LLC due to non-compliance with Nasdaq Listing Rule 5810(c)(3)(A)(iii), also known as the Low Priced Stocks Rule. The company’s Class A ordinary shares had a closing bid price of $0.10 or less for the last ten consecutive trading days.
The Notice indicated that Nasdaq staff determined to delist the Company’s securities from The Nasdaq Capital Market. It also stated that the bid price of Cheer Holding’s Class A ordinary shares closed at less than $1 per share over the previous 30 consecutive business days, resulting in non-compliance with Listing Rule 5550(a)(2).
While companies typically have 180 calendar days to regain compliance, Nasdaq determined that because the company’s shares also closed at $0.10 or less for ten consecutive trading days, it was subject to immediate delisting under the Low Priced Stocks Rule.
Cheer Holding has until November 26, 2025, to request an appeal of the delisting determination to the Hearings Panel. Failing to do so will result in the suspension of trading of the company’s securities at the opening of business on December 1, 2025, and the filing of a Form 25-NSE with the SEC, removing the securities from listing and registration on The Nasdaq Stock Market.
The company intends to request a hearing to appeal the delisting determination before November 26, 2025, which will suspend the delisting process until the Panel renders a decision.
Cheer Holding is exploring all available options to regain compliance with Nasdaq’s rules, including implementing a share consolidation that shareholders previously approved on May 12, 2025, at its Annual General Meeting.
