Vancouver, British Columbia — December 4, 2025 — Leads & Copy — Carrier Connect Data Solutions Inc. (TSXV: CCDS, OTCQB: CCDSF, WKN: A40XB1) has finalized its acquisition of PureColo Inc., according to a news release dated December 4, 2025.
The acquisition involved Carrier Connect Data Solutions acquiring all issued and outstanding securities of PureColo from existing securityholders.
In exchange, Carrier Connect Data Solutions issued 4,606,704 common shares and paid approximately $2,326,000 to the PureColo securityholders on a pro rata basis. The Consideration Shares are subject to certain escrow conditions releasable as to 1/3 on each of the dates that are four-, eight- and twelve-months following December 4, 2025. The Cash Consideration is payable over a nine-month period and is subject to adjustment based on certain debt covenants of PureColo in the SPA.
PureColo is known as a carrier-neutral data center provider in the Ottawa, Canada region, providing colocation and server hosting for internet connectivity, geographical redundancy, and disaster recovery.
With the acquisition complete, Carrier Connect Data Solutions now has data centers in Vancouver, Ottawa, and Perth, Australia. Mark Binns, CEO of Carrier, anticipates that the PureColo acquisition will significantly increase revenue and square footage. Binns also noted PureColo’s industry relationships will be leveraged for future acquisitions, and welcomed PureColo staff to the Carrier team.
The company plans to file a Business Acquisition Report (BAR) according to securities regulations and will announce the filing in a future news release.
Carrier Connect Data Solutions Inc. aims to roll up Tier II/III data centers internationally that specialize in delivering co-location and data center solutions to AI companies, service providers, enterprises and small businesses. The current principal markets for the Company are Vancouver and Ottawa, Canada and Perth, Australia, where it serves clients who use its facilities either as their primary datacenter or as an ancillary site depending on their needs.
