October 8, 2025 — Leads & Copy — Making Science Group, S.A. (BME Growth: MAKS) has agreed to sell its Cloud and Cybersecurity business unit in Spain to Lutech S.p.A., according to a recent announcement. The transaction will enable Making Science to concentrate on its core digital marketing, AdTech, and artificial intelligence segments. For Lutech, the acquisition expands its presence in the Spanish market.
The sale includes Making Science’s legal entities in Spain that operate in cloud infrastructure, enterprise software development, and cybersecurity services. The consideration is a maximum of €26 million, including an upfront payment and an additional payment in the first half of 2026 based on 2025 EBITDA.
The transaction is expected to close in Q4 2025, pending foreign direct investment approval in Spain and customary conditions. Making Science will focus on its Digital Marketing Services, AdTech, and RAISING (Artificial Intelligence) divisions. Lutech’s acquisition strengthens its capabilities in cloud services, custom software, and cybersecurity.
Making Science and Lutech will maintain a strategic alliance, with Making Science remaining a customer of the business unit. José Antonio Martínez, CEO and Founder of Making Science, sees Lutech as an ideal partner. Giuseppe Di Franco, CEO of Lutech Group, views the acquisition as a key step in their international expansion.
Making Science reaffirmed its financial guidance for fiscal year 2025 in its H1 Results release dated July 31, 2025, and will provide updates after the transaction closes.
